These Terms and Conditions govern the use of the WPCrafters India website, services, managed website plans, hosting support, maintenance services, and any related digital services provided by WPCrafters India.
By accessing our website, submitting an enquiry, requesting a proposal, making a payment, approving a project, or using our services, you agree to these Terms and Conditions.
If you do not agree with these Terms, you should not use our website or services.
1. Who We Are
WPCrafters India is a managed WordPress website service provider focused on helping Chartered Accountant firms, professional service firms, consultants, and small businesses build, maintain, and improve their websites.
For the purpose of these Terms:

In these Terms, "WPCrafters", "we", "us", and "our" refer to WPCrafters India and/or Tharwa Consulting Pvt Ltd, as applicable.
The words "Client", "you", and "your" refer to the individual, firm, company, partnership, LLP, professional practice, or business that enquires about, purchases, or uses our services.
2. Acceptance of Terms
You accept these Terms when you:
- Use our website
- Submit a contact form or website audit form
- Communicate with us about our services
- Approve a proposal, quotation, invoice, or project scope
- Make a payment to us
- Allow us to begin work on your website
- Use our managed website, hosting, support, or maintenance services
Acceptance may be given in writing, by email, through WhatsApp, through payment, through verbal confirmation followed by project commencement, or by continued use of our services.
If you are accepting these Terms on behalf of a firm, company, LLP, partnership, or organisation, you confirm that you are authorised to do so.
3. Services Covered
These Terms apply to all services provided by WPCrafters, including but not limited to:
- Managed WordPress website plans
- Website design and development
- Website redesign
- Website hosting support
- WordPress setup and configuration
- Domain and DNS assistance
- Website maintenance
- Content updates
- Security updates
- Plugin and theme updates
- Website performance optimisation
- Basic SEO setup
- Contact form setup
- Technical support
- Website migration
- Backup management
- Website audit and recommendations
- Compliance-focused website structure for CA firms
- Related digital infrastructure services
The exact services included in your plan will depend on the proposal, invoice, plan page, written scope, or agreement shared with you.
If there is a conflict between these Terms and a separately signed written agreement, the signed written agreement will apply to the extent of that conflict.
4. Managed Website Plan
The WPCrafters Managed Website Plan is designed to provide a professional website solution for CA firms and similar professional service businesses.
Unless otherwise agreed in writing, the Managed Website Plan may include:
- Website planning and structure
- WordPress-based website setup
- Professional website design
- Core pages based on agreed scope
- Mobile-responsive design
- Basic on-page SEO setup
- Contact form setup
- Basic speed optimisation
- Basic security configuration
- Hosting arrangement or hosting support
- Essential plugin setup
- Basic analytics setup, if agreed
- Website launch support
- Monthly maintenance
- Limited monthly content updates
- WhatsApp-based support
- Basic backup process
- Technical monitoring where applicable
The exact inclusions may vary based on the package, proposal, and commercial agreement.
5. Pricing
Unless otherwise agreed in writing, the standard pricing for the Managed Website Plan is:

The Year 1 fee covers the initial website setup, design, development, launch, and first-year managed service as per the agreed scope.
The renewal fee covers continued hosting support, maintenance, limited monthly content updates, support, and related managed services for the next service year.
Prices may be revised in the future. Existing clients will be informed of any applicable renewal price changes before renewal.
6. GST and Taxes
All prices are exclusive of GST unless clearly stated otherwise.
GST will be charged where applicable under Indian tax law.
The client is responsible for paying all applicable taxes, duties, levies, or government charges related to the services.
If the client requires a GST invoice, the client must provide accurate GST details, including:
- Legal business name
- GSTIN
- Billing address
- Contact details
- Any other information required for invoicing
WPCrafters is not responsible for incorrect invoices caused by inaccurate information provided by the client.
7. Payment Terms
Payment terms will be mentioned in the invoice, proposal, or written agreement.
Unless otherwise agreed in writing, payment is due before project work begins.
WPCrafters may require full upfront payment or partial advance payment before starting the project.
For the Managed Website Plan, the standard payment structure may be:
- Full payment before project commencement
- Advance payment before commencement and balance before launch
- Any other payment structure agreed in writing
The website may not be launched, handed over, migrated, or made live until all agreed payments due at that stage are received.
Annual renewal payment must be made before the renewal period begins.
Failure to pay renewal fees may result in suspension or termination of hosting, maintenance, support, and managed services.
8. Late Payment Policy
If payment is not received by the due date, WPCrafters may:
- Pause ongoing work
- Delay website launch
- Suspend support
- Suspend maintenance
- Suspend hosting-related services
- Withhold handover
- Charge late payment fees, if stated in the invoice or agreement
- Terminate the service after reasonable notice
If renewal payment is delayed, WPCrafters may suspend managed services until payment is received.
WPCrafters is not responsible for website downtime, broken features, expired services, plugin issues, domain issues, security issues, or business loss caused by delayed or non-payment.
9. Refund Policy
Refunds are governed by WPCrafters India's Refund Policy, published at wpcrafters.in/refund-policy. The Refund Policy forms part of these Terms and Conditions.
10. Project Timeline and 14-Day Delivery
WPCrafters may offer a 14-day website delivery timeline for eligible Managed Website Plan projects.
The 14-day delivery period does not begin from the date of enquiry or payment alone.
The 14-day delivery clock begins only after all required project inputs are received and approved.
This may include:
- Payment confirmation
- Website content
- Logo and brand assets
- Firm details
- Service details
- Team or partner details
- Contact information
- Required images
- Domain or hosting access, if needed
- Page structure approval
- Design direction approval
- Any legal, compliance, or disclaimer content required from the client
- Written confirmation to begin development
If any required item is missing, incomplete, unclear, delayed, or not approved, the 14-day timeline will not begin or may be paused.
11. Conditions for 14-Day Delivery
The 14-day delivery timeline applies only when:
- The project scope is within the standard Managed Website Plan
- All content is provided on time
- All approvals are given quickly
- The client responds without delay
- Required access is provided correctly
- No major custom functionality is requested
- No major design revision is requested after approval
- No third-party delay occurs
- No domain, DNS, hosting, or platform issue blocks progress
- The client does not change the scope midway
If the client requests additional pages, custom features, advanced integrations, copywriting, branding, custom design systems, compliance review, or major structural changes, the timeline may be extended.
WPCrafters will not be liable for missing a 14-day delivery timeline due to client delays, third-party issues, unclear requirements, or scope changes.
12. Client Responsibilities
The client must provide all information, content, access, and approvals needed to complete the project.
Client responsibilities include:
- Providing accurate firm information
- Providing logo and brand assets
- Providing website content
- Providing service descriptions
- Providing team or partner details
- Providing contact details
- Providing images, documents, and media where needed
- Providing domain, hosting, DNS, WordPress, analytics, or other access where needed
- Reviewing work on time
- Giving clear feedback
- Approving designs and pages on time
- Making payments on time
- Ensuring legal and professional compliance of website content
- Informing WPCrafters of any required changes
- Not delaying project communication unnecessarily
The client is responsible for the accuracy, legality, and completeness of all content provided.
13. Client Delay
If the client delays content, approvals, access, or feedback, WPCrafters may pause the project.
Client delay may affect:
- Delivery timeline
- Launch date
- Support schedule
- Development priority
- Resource allocation
- Renewal dates
- Final handover
If a project remains inactive because of client delay for more than 30 days, WPCrafters may mark the project as paused.
If a project remains inactive for more than 60 days, WPCrafters may treat the project as abandoned unless otherwise agreed in writing.
Restarting an abandoned or long-paused project may require additional fees.
No refund will be issued for delays caused by the client.
14. Scope Boundaries
The Managed Website Plan includes only the services clearly stated in the proposal, invoice, website plan page, or written agreement.
Unless specifically included in writing, the following are not included:
- Logo design
- Brand identity design
- Advanced copywriting
- Professional photography
- Video production
- Paid advertising
- Social media management
- Advanced SEO campaigns
- Technical SEO audits beyond basic setup
- Complex custom web applications
- Custom plugin development
- Custom WordPress theme development from scratch
- E-commerce functionality
- Payment gateway integration
- Membership portals
- Learning management systems
- Advanced booking systems
- Advanced CRM integration
- Third-party API integrations
- Legal drafting
- ICAI compliance certification
- Accounting or tax advice
- Content translation
- Unlimited revisions
- Unlimited support
The 14-day website delivery timeline begins only after payment, content, access, approvals, and all required inputs are received.
15. Revisions and Feedback
The number of revisions included depends on the agreed plan or proposal.
If no revision limit is specified, WPCrafters will provide reasonable revisions within the original scope.
A revision means modification to already agreed work. It does not mean a complete redesign, new direction, new page structure, new functionality, or change in business requirement.
The following may be treated as additional paid work:
- Major design changes after approval
- New page requests
- New sections not previously agreed
- Structural changes after development begins
- New functionality
- Repeated changes due to unclear instructions
- Changes after final approval
- Rework caused by incorrect information from the client
- Revisions outside the agreed scope
WPCrafters will make reasonable efforts to accommodate client feedback, but unlimited revisions are not included unless expressly agreed in writing.
16. Website Content
The client is responsible for providing website content unless copywriting is specifically included in the package.
Client-provided content may include:
- Firm profile
- About page content
- Service descriptions
- Partner or team profiles
- Contact information
- Disclaimers
- Legal notices
- Privacy policy
- Terms of use
- ICAI-related disclaimers
- Images
- Documents
- Client-approved claims
- Certifications
- Testimonials
- FAQs
- Any other business information
WPCrafters may assist with formatting, improving, restructuring, or presenting the content, but the client remains responsible for its accuracy and compliance.
17. ICAI Compliance Responsibility
WPCrafters may design websites for Chartered Accountant firms and may structure websites in a professional and compliance-conscious manner.
However, the client is solely responsible for ensuring that their website, content, claims, service descriptions, advertisements, testimonials, branding, online presence, and communication comply with:
- ICAI guidelines
- Professional conduct rules
- Advertising restrictions
- Client confidentiality obligations
- Applicable laws
- Any professional regulatory obligations
WPCrafters does not provide legal, regulatory, accounting, or ICAI compliance certification.
Any compliance-related suggestions provided by WPCrafters are general website implementation support and should not be treated as legal or professional advice.
The client should review the website with their internal compliance team, legal advisor, or professional advisor before publication.
WPCrafters is not liable for any ICAI notice, professional complaint, penalty, disciplinary action, compliance issue, reputational damage, or legal consequence arising from client content, claims, approvals, or business practices.
18. Accuracy of Firm Information
The client must provide accurate and current information, including:
- Firm name
- Registration details
- Partner details
- Office address
- Contact details
- Services offered
- Qualifications
- Certifications
- Legal disclaimers
- Professional memberships
- GST details, if applicable
- Any regulatory information required on the website
WPCrafters is not responsible for errors, misstatements, outdated information, or misleading content provided or approved by the client.
19. Hosting and Infrastructure
The Managed Website Plan may include hosting or hosting support, depending on the agreed package.
Hosting may be provided through third-party infrastructure providers such as Contabo, Cloudflare, domain providers, DNS providers, CDN providers, backup providers, or other infrastructure partners.
The hosting environment may include:
- Web server
- Database server
- Storage
- CDN configuration
- SSL certificate
- Backup system
- Security configuration
- DNS support
- WordPress installation
- Email routing support where applicable
The exact hosting details will depend on the plan and infrastructure selected by WPCrafters.
20. Uptime and Availability
WPCrafters makes reasonable efforts to keep hosted websites online and available.
However, we do not guarantee 100% uptime.
Website uptime may be affected by:
- Hosting provider outages
- Contabo outages
- Cloudflare outages
- DNS issues
- Domain expiry
- Internet routing issues
- Software bugs
- Plugin conflicts
- WordPress vulnerabilities
- Cyberattacks
- DDoS attacks
- Maintenance windows
- Server updates
- Third-party service failures
- Client-side changes
- Payment delays
- Force majeure events
WPCrafters is not liable for temporary downtime, service interruptions, third-party infrastructure failures, or resulting business loss.
21. Third-Party Infrastructure Failures
If Contabo, Cloudflare, domain providers, DNS providers, WordPress plugins, payment gateways, form tools, email providers, analytics tools, or any other third-party service experiences downtime, errors, pricing changes, suspension, or policy changes, WPCrafters will make reasonable efforts to help resolve the issue.
However, WPCrafters is not responsible for failures caused by third-party providers.
This includes but is not limited to:
- Server downtime
- Hosting suspension
- DNS failure
- CDN outage
- Email delivery issues
- Plugin bugs
- Theme bugs
- Security vulnerabilities
- Payment gateway failure
- Analytics tracking failure
- Form delivery failure
- Backup failure
- Domain registrar issues
- Price increases by third-party providers
Any third-party charges, recovery costs, migration costs, or emergency work may be billed separately unless covered by the plan.
22. Backups
WPCrafters may maintain backups as part of the managed service, depending on the plan.
Backups may include:
- Website files
- Database
- Media files
- Theme and plugin configuration
- Selected server-level backups
- Selected WordPress-level backups
However, backups are not guaranteed to be continuous, complete, error-free, or available in every situation.
Backup restoration may fail due to:
- Corrupt backups
- Server failure
- Storage failure
- Plugin failure
- Malware infection
- Client-side changes
- Third-party outage
- Incorrect configuration
- Expired services
- Force majeure events
WPCrafters will make reasonable efforts to maintain backups, but clients should not treat backups as an absolute guarantee against data loss.
If the client needs enterprise-grade backup, disaster recovery, high availability, or legal archive systems, those must be separately agreed and priced.
23. Website Maintenance
Managed Website Plan renewal may include maintenance services.
Maintenance may include:
- WordPress core updates
- Plugin updates
- Theme updates
- Basic security checks
- Basic performance checks
- Uptime checks where applicable
- Backup checks
- Minor bug fixes
- Compatibility review
- Basic technical support
- Limited monthly content updates
Maintenance does not include unlimited development, redesign, complex troubleshooting, custom coding, malware cleanup, or new features unless separately agreed.
24. Monthly Content Update Allowance
The Managed Website Plan may include up to 1 hour per month of content updates.
This monthly content update allowance may cover small changes such as:
- Updating text on existing pages
- Replacing images
- Adding a small notice
- Updating contact information
- Changing office hours
- Adding a simple announcement
- Updating team information
- Editing existing service descriptions
- Uploading a simple PDF
- Minor formatting changes
- Small content corrections
The monthly hour does not roll over unless specifically agreed in writing.
Unused monthly update time expires at the end of each month.
25. What Falls Outside the Monthly Content Hour
The monthly content update allowance does not include:
- New page design
- New landing page creation
- New website sections requiring design
- Advanced formatting
- Copywriting from scratch
- Blog writing
- SEO content creation
- Graphic design
- Custom development
- Plugin setup
- New integrations
- Major layout changes
- Website redesign
- Technical troubleshooting unrelated to content
- Malware cleanup
- Performance overhaul
- E-commerce updates
- Payment gateway setup
- Complex forms
- Booking systems
- API integrations
- Multilingual setup
- Bulk content uploads
- Emergency work
- Anything requiring more than the included time
Such work will be quoted separately.
26. Support
WPCrafters may provide support through WhatsApp, email, phone, or other agreed channels.
Support may cover:
- Website access issues
- Basic website errors
- Content update requests
- Hosting-related questions
- Maintenance updates
- Bug reports
- Form issues
- Minor display issues
- General service questions
- Renewal questions
- Website performance concerns
Support is provided during reasonable business hours unless otherwise agreed.
WhatsApp support is intended for convenient communication, not guaranteed instant response or emergency 24/7 support.
27. Response Time
WPCrafters will try to respond to support requests within a reasonable time.
Typical response expectations:

No guaranteed response time applies unless a separate Service Level Agreement is signed.
28. Support Request vs New Project
A support request means a request related to the normal operation of the existing website within the agreed scope.
Examples of support requests:
- Fixing a minor display issue
- Checking a form issue
- Updating existing content
- Reviewing a website error
- Answering hosting-related questions
- Making a minor text or image change
A new project or billable task includes:
- Creating a new page
- Adding a new feature
- Redesigning sections
- Changing website structure
- Adding automation
- Adding integrations
- Building custom forms
- Developing new functionality
- Creating SEO content
- Running marketing campaigns
- Building landing pages
- Creating a new website
- Migrating major systems
- Implementing advanced security
- Setting up advanced analytics
- Adding e-commerce or payments
WPCrafters will decide whether a request falls under support, maintenance, monthly content update, or additional paid work.
29. Client Modifications to Website
Clients should not modify the WordPress backend, theme files, plugins, hosting configuration, DNS, database, or server settings without informing WPCrafters if the website is under active management.
Unauthorised or incorrect changes may cause:
- Website errors
- Broken layouts
- Security issues
- Plugin conflicts
- Data loss
- Downtime
- Backup failure
- Performance issues
- Maintenance difficulties
If the client or a third party modifies the website and causes issues, WPCrafters may charge separately to investigate, repair, restore, or rebuild affected parts.
WPCrafters is not liable for issues caused by client-side or third-party modifications.
30. Login Credentials and Security
The client is responsible for keeping login credentials secure.
This includes credentials for:
- WordPress
- Hosting
- Domain registrar
- DNS
- Analytics
- Search Console
- Payment tools
- CRM
- Third-party platforms
- Any other connected service
The client should:
- Use strong passwords
- Avoid sharing passwords over insecure channels
- Enable two-factor authentication where possible
- Give separate user access instead of sharing master accounts
- Remove old users
- Inform WPCrafters about suspicious activity
- Avoid installing unknown plugins or themes
- Avoid giving admin access to untrusted parties
WPCrafters is not liable for security breaches caused by weak passwords, reused passwords, phishing, client negligence, third-party access, or unauthorised changes.
31. Plugins, Themes, and Third-Party Tools
Websites may use WordPress plugins, themes, libraries, APIs, analytics tools, form tools, hosting tools, CDN services, or other third-party services.
These tools may be free, paid, open-source, licensed, or subscription-based.
The client understands that third-party tools may:
- Change pricing
- Stop offering free plans
- Introduce bugs
- Create compatibility issues
- Stop receiving updates
- Be discontinued
- Change terms
- Create security vulnerabilities
- Require renewal
- Require additional payment
- Stop working with WordPress updates
WPCrafters is not responsible for third-party tool failures, pricing changes, vulnerabilities, or discontinued services.
If a third-party tool needs to be replaced, upgraded, renewed, or repaired, additional costs may apply.
32. Domain Name
Unless specifically included in writing, domain registration is not included in the Managed Website Plan.
The client is responsible for:
- Purchasing the domain
- Renewing the domain
- Keeping registrar access secure
- Updating domain ownership information
- Paying domain renewal fees
- Ensuring the domain does not expire
If WPCrafters helps configure or manage a domain, we do so as a technical service provider.
WPCrafters is not liable for domain expiry, domain loss, registrar issues, incorrect ownership details, or client failure to renew.
33. Email Hosting
Unless specifically included in writing, email hosting is not included.
If email services are required, they may need to be purchased separately through providers such as Google Workspace, Microsoft 365, Zoho Mail, or another email provider.
WPCrafters may help configure DNS records for email, such as MX, SPF, DKIM, and DMARC, if included or separately agreed.
WPCrafters is not responsible for email delivery failure, spam filtering, mailbox issues, third-party email outages, or client misuse of email systems.
34. Website Ownership
After full payment is received, the client owns the final website content and final website design created specifically for the client, subject to the limitations stated in these Terms.
This may include:
- Final page content
- Client-provided text
- Client-provided images
- Final website layout created for the client
- Uploaded business information
- Client-specific brand assets
- Final published website pages
Ownership transfer applies only after all dues are fully paid.
Until full payment is received, WPCrafters may retain ownership, control, and access rights over the work created.
35. Code, Theme, Plugins, and Tools Ownership
The client does not own third-party code, open-source software, WordPress core, third-party themes, third-party plugins, frameworks, libraries, tools, templates, internal systems, reusable components, processes, workflows, or proprietary methods used by WPCrafters.
The client receives the right to use the website as delivered, but does not receive ownership of:
- WordPress core
- Third-party plugins
- Third-party themes
- Licensed software
- Premium plugin licenses owned by WPCrafters
- Reusable code components
- Internal frameworks
- Internal templates
- Internal automation systems
- Internal checklists
- Project management systems
- Design systems owned by WPCrafters
- Server management scripts
- Security configurations owned by WPCrafters
- Custom tools used internally by WPCrafters
If custom code is developed specifically for the client and paid for in full, ownership or usage rights will depend on the written agreement.
Unless expressly agreed in writing, WPCrafters retains the right to reuse general knowledge, techniques, frameworks, design patterns, code snippets, templates, and processes in other projects.
36. Client-Provided Content Ownership
The client retains ownership of all content provided by the client, including:
- Logo
- Brand assets
- Text
- Images
- Documents
- Videos
- Business information
- Firm details
- Partner profiles
- Service descriptions
- Testimonials
- Certifications
- Legal disclaimers
- Other materials supplied by the client
The client confirms that they have the right to use all content provided to WPCrafters.
The client is responsible for ensuring that provided content does not infringe copyright, trademark, privacy rights, professional rules, or applicable laws.
WPCrafters is not liable for claims arising from client-provided content.
37. Licensed Assets
If a website uses licensed assets such as stock images, fonts, icons, plugins, themes, or templates, the usage rights are subject to the license terms of the relevant provider.
The client may be required to purchase or maintain licenses separately.
WPCrafters is not responsible for license violations caused by client misuse, expired subscriptions, unauthorised copying, or use outside the permitted scope.
38. Portfolio and Case Study Rights
WPCrafters may request permission to display completed work in our portfolio, case studies, website, social media, marketing materials, or sales presentations.
We will not publicly show confidential client information without permission.
For CA firms and professional service clients, we will seek client approval before publishing a detailed case study or using the client's name or logo in marketing.
Unless the client objects in writing, WPCrafters may mention the project in a general, non-confidential manner for internal records or capability demonstration.
39. Confidentiality
Both parties agree to keep confidential information private.
Confidential information may include:
- Business plans
- Client data
- Website access details
- Login credentials
- Financial information
- Internal documents
- Technical systems
- Project discussions
- Pricing terms
- Private communications
- Client customer data
- Unpublished website content
WPCrafters will not intentionally disclose confidential client information except where required for service delivery, legal compliance, or with client permission.
The client must also keep WPCrafters' internal processes, proposals, pricing arrangements, technical methods, and confidential business information private.
40. Privacy and Data Protection
WPCrafters handles personal data according to its Privacy Policy, published at wpcrafters.in/privacy-policy.
By using our services, the client agrees that WPCrafters may collect and process personal data for enquiry handling, project delivery, hosting, support, billing, maintenance, legal compliance, and service improvement.
Clients are responsible for ensuring that their own websites have appropriate privacy policies, cookie notices, consent mechanisms, and data handling practices.
If the client's website collects personal data from visitors, the client is responsible for legal compliance related to that data unless otherwise agreed in writing.
41. Prohibited Use
The client must not use WPCrafters' services or websites created by WPCrafters for:
- Illegal activity
- Fraud
- Misleading claims
- Spam
- Phishing
- Malware
- Copyright infringement
- Trademark infringement
- Defamation
- Harassment
- Hate speech
- Pornographic or obscene content
- Unlawful financial services
- Impersonation
- Data theft
- Unauthorised scraping
- Activities violating professional regulations
- Activities that damage WPCrafters' reputation or infrastructure
WPCrafters may suspend or terminate services if the client uses the website for prohibited, unlawful, unethical, or high-risk activities.
42. Suspension of Services
WPCrafters may suspend services if:
- Payment is overdue
- The client violates these Terms
- The website is used unlawfully
- The website creates security risks
- The website causes server abuse
- The client installs unsafe plugins
- The client shares access with unsafe parties
- The client misuses hosting resources
- The client fails to cooperate
- Third-party providers suspend infrastructure
- Legal or regulatory issues arise
- Continued service creates risk for WPCrafters
Suspension may affect website availability, support, maintenance, hosting, backups, and updates.
WPCrafters is not liable for loss caused by suspension due to client breach, non-payment, legal risk, or infrastructure abuse.
43. Termination by Client
The client may terminate the service by giving written notice to WPCrafters.
Unless otherwise agreed, the client should provide at least 30 days written notice before termination.

The client remains responsible for all unpaid invoices, renewal fees due, third-party costs incurred, and work already completed.
Termination does not automatically entitle the client to a refund.
44. Termination by WPCrafters
WPCrafters may terminate services by giving written notice if:
- The client fails to pay
- The client repeatedly delays the project
- The client violates these Terms
- The client behaves abusively or unprofessionally
- The client requests unlawful work
- The client creates legal or regulatory risk
- The client misuses the website or hosting
- The client provides false information
- The client fails to cooperate
- Third-party infrastructure becomes unavailable
- Continuing the service is commercially or technically impractical
In serious cases, WPCrafters may suspend services immediately before termination.
45. Effect of Termination
After termination:
- WPCrafters may stop maintenance
- WPCrafters may stop hosting support
- WPCrafters may stop backups
- WPCrafters may stop security monitoring
- WPCrafters may stop content updates
- WPCrafters may stop WhatsApp support
- WPCrafters may revoke access to WPCrafters-managed systems
- The client must move the website to their own hosting if needed
- Any unpaid amounts become immediately due
If the client wants website files, database export, migration assistance, or handover support, WPCrafters may provide it subject to payment of all dues and additional migration or handover charges where applicable.
46. Website Handover After Termination
If all dues are paid, WPCrafters may provide reasonable handover support.
Handover may include:
- WordPress admin access
- Website file export
- Database export
- Basic backup copy
- Domain and DNS guidance
- Plugin list
- Theme details
- Hosting migration support, if separately agreed
WPCrafters is not required to provide:
- Internal tools
- Internal code libraries
- Premium plugin licenses owned by WPCrafters
- Server scripts
- Automation workflows
- Project management records
- Internal documentation
- Reusable design systems
- Proprietary processes
- Third-party licenses not owned by the client
If the website is hosted under WPCrafters' managed infrastructure, the client must migrate to their own hosting after termination unless continued hosting is separately agreed.
47. Data After Termination
After termination, WPCrafters may retain certain data for legal, tax, accounting, security, and business record purposes.
Website backups and project files may be deleted after a reasonable period.
The client should request handover, backup, or migration before termination is completed.
WPCrafters is not responsible for maintaining website backups indefinitely after termination.
48. Refunds on Termination
Termination does not automatically create a refund right.
Fees already paid are generally non-refundable.
No refund will be provided for:
- Work already completed
- Setup costs
- Design work
- Development work
- Hosting already provided
- Maintenance already provided
- Third-party costs
- Administrative time
- Client delay
- Client change of mind
- Termination caused by client breach
- Renewal period already started
If WPCrafters terminates without client fault and before meaningful work has started, WPCrafters may consider a fair partial refund at its discretion.
49. Limitation of Liability
To the maximum extent permitted by law, WPCrafters' total liability for any claim related to the services will be limited to the amount paid by the client to WPCrafters for the specific service giving rise to the claim during the previous 3 months.
WPCrafters will not be liable for:
- Loss of profit
- Loss of revenue
- Loss of business
- Loss of opportunity
- Loss of goodwill
- Loss of data
- Loss of clients
- Loss of rankings
- Loss of leads
- Loss of reputation
- Website downtime
- Third-party tool failure
- Hosting outage
- Domain expiry
- Email failure
- Security breach caused by client actions
- ICAI compliance issues
- Legal penalties
- Indirect damages
- Consequential damages
- Special damages
- Punitive damages
This limitation applies whether the claim is based on contract, tort, negligence, breach of duty, statutory claim, or any other legal theory.
50. No Guarantee of Business Results
WPCrafters provides website and digital infrastructure services.
We do not guarantee:
- More clients
- More leads
- Higher revenue
- Google ranking
- SEO results
- Advertising results
- Conversion rates
- Business growth
- ICAI approval
- Professional compliance approval
- Specific traffic numbers
- Specific enquiry volume
- Specific uptime percentage
- Specific page speed score
- Specific security outcome
We will make reasonable professional efforts, but business outcomes depend on many factors outside our control.
51. No Liability for Third-Party Failures
WPCrafters is not liable for any issue caused by third-party tools, platforms, or service providers, including:
- Contabo
- Cloudflare
- WordPress
- Plugin developers
- Theme developers
- Domain registrars
- DNS providers
- Email providers
- Payment gateways
- Analytics providers
- Form tools
- CDN providers
- Security tools
- Backup tools
- Browser changes
- Search engines
- Government websites
- Social platforms
If third-party failures require investigation, repair, migration, or replacement, additional charges may apply.
52. No Liability for ICAI or Professional Compliance Breaches
The client is solely responsible for ensuring that their website and digital communication comply with ICAI rules, professional conduct standards, advertising guidelines, client confidentiality obligations, and applicable laws.
WPCrafters is not liable for:
- ICAI notices
- ICAI complaints
- Professional misconduct claims
- Advertising violations
- Misleading claims
- Improper testimonials
- Improper service descriptions
- Client confidentiality breaches caused by client content
- Regulatory penalties
- Professional disciplinary action
- Legal claims caused by client-approved content
The client must review and approve all website content before publication.
53. Indemnity
The client agrees to indemnify and hold harmless WPCrafters, Tharwa Consulting Pvt Ltd, its directors, employees, contractors, partners, and service providers from any claims, losses, damages, penalties, costs, expenses, or legal fees arising from:
- Client-provided content
- Client breach of these Terms
- Client misuse of the website
- Client violation of law
- Client violation of ICAI rules or professional regulations
- Copyright or trademark claims related to client content
- False or misleading information provided by the client
- Unauthorised changes made by the client
- Third-party claims related to the client's business
- Client failure to secure login credentials
- Client failure to obtain required permissions or licenses
54. Force Majeure
WPCrafters will not be liable for delay or failure caused by events beyond our reasonable control.
This includes:
- Natural disasters
- War
- Civil unrest
- Government action
- Internet outages
- Power failure
- Cyberattacks
- Pandemics
- Labour disruptions
- Third-party infrastructure failure
- Hosting provider outage
- Cloud provider outage
- Domain or DNS failure
- Payment gateway failure
- Legal restrictions
- Acts of God
- Any event beyond reasonable control
Timelines will be extended where force majeure events affect service delivery.
55. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation.
If the dispute is not resolved within 30 days of written notice, either party may refer the matter to mediation before initiating litigation.
This does not prevent either party from seeking urgent injunctive relief or interim orders from a court where necessary to protect their rights.
56. Changes to Services
WPCrafters may improve, change, modify, replace, suspend, or discontinue parts of its services, plans, pricing, infrastructure, tools, or processes from time to time.
For active clients, material changes affecting service delivery will be communicated where reasonable.
WPCrafters may change third-party tools, hosting providers, plugins, or technical infrastructure if needed for security, performance, reliability, or business reasons.
57. Changes to Terms
WPCrafters may update these Terms and Conditions from time to time.

59. Assignment
The client may not transfer or assign the agreement, website service, hosting arrangement, or rights under these Terms to another party without WPCrafters' written consent.
WPCrafters may assign or transfer its rights and obligations to an affiliate, successor, parent company, acquiring entity, or business partner as part of restructuring, merger, acquisition, or business transfer.
60. Severability
If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining parts will continue to apply.
The invalid part will be replaced or interpreted in a way that best reflects the original intention while remaining legally enforceable.
61. No Waiver
If WPCrafters does not enforce a right under these Terms, that does not mean we waive that right.
Any waiver must be in writing and signed or clearly confirmed by WPCrafters.
62. Entire Agreement
These Terms, together with the proposal, invoice, project scope, Privacy Policy, Refund Policy, and any written agreement, form the entire agreement between WPCrafters and the client regarding the services.
They replace any previous discussions, informal messages, proposals, or understandings unless expressly preserved in writing.
63. Governing Law
These Terms are governed by the laws of India.
Any disputes will be subject to the jurisdiction of courts in Bangalore, Karnataka, India.

Project timelines begin only after payment, content, access, and approvals are received. WPCrafters is not responsible for client delays, third-party outages, ICAI compliance issues, business losses, or unauthorised client-side changes.
